Definitions of Terms Used

Buy – Buy means that the stock recommended to be bought either at Market or at price or within price band mentioned in the recommendation. Stock to be bought at Market or Current Market price (CMP) must be bought immediately or near the closing time of market at closing price. Stock with limit price order or where buying price or price band is mentioned, such stock can be bought at the price or within the price band mentioned.

Sell / Target – Sell or target price is the price at which stock must be sold. For Stocks which have reached to their target price or trading above target price must be sold upon reaching the target price or price band mentioned.

Hold – Hold means that a stock may be held and no exit is required. Hold recommendation is given if stock has not achieved its mentioned target or hit the mentioned stop loss price. Hold recommendation can also be given in case if research analyst is of opinion that even after reaching the target price, the stock may go beyond target price due to change in circumstances.

Stop loss price – Stop loss is a price at which the stock must be exited or sold due to adverse situation or market move contrary to recommendation. When the stop loss price is reached, stock can be exited immediately or near the close of trading session at price which is near the closing price. Second scenario is mentioned given the fact that some times the stop loss price is reached due to intra day volatility of market but it recovers towards the end of session showing the strength of stock & in such case stock can be held. This mechanism helps the Investor from a wrong exit/ pre mature exit from stock. It must be noted, however, that if the stock is trading below/at stop loss near the closing trading time, then it must be exited.

In the interest of transparency and appropriate management of potential conflicts of interest, STOCKWIZ TECHNOLOGIES LLP (“Research Entity”) makes the following disclosure regarding an Authorized Person (“AP”) arrangement connected with certain clients/prospective clients.

Relationship Disclosure

GEETANJALI RAJESH SHROFF is an Authorized Person associated with Dhan – Raise Financial Services.

GEETANJALI RAJESH SHROFF is the spouse of PARANG MEHTA, who is Designated Partner / Principal Officer of STOCKWIZ TECHNOLOGIES LLP.

The Authorized Person operates independently in relation to stock-broking facilitation activities and may receive remuneration from the associated stock broker in accordance with the applicable arrangement between the Authorized Person and the stock broker, including remuneration linked to transactions undertaken by clients through the AP.

STOCKWIZ TECHNOLOGIES LLP recognizes that the above relationship may give rise to an actual, potential or perceived conflict of interest and accordingly maintains appropriate disclosure, segregation and research-independence controls.

Client Choice of Broker

Clients of STOCKWIZ TECHNOLOGIES LLP are under no obligation whatsoever to open, maintain or operate a trading or demat account through the above Authorized Person or the associated stock broker in order to obtain research services from STOCKWIZ TECHNOLOGIES LLP.

Clients are free to use:

• any stock broker of their choice;
• any Authorized Person of their choice; or
• no broker at all in relation to a particular research recommendation.

A client’s decision to use or not use the above Authorized Person or associated stock broker does not affect the nature, quality, availability or continuity of research services provided by STOCKWIZ TECHNOLOGIES LLP.

Separation of Research and Broking Services

Research services are provided independently by STOCKWIZ TECHNOLOGIES LLP in its capacity as a SEBI-registered Research Analyst.

Stock-broking and execution services are separately provided by the relevant SEBI-registered stock broker through its applicable broking framework.

The Authorized Person does not prepare, determine, approve or influence research recommendations issued by STOCKWIZ TECHNOLOGIES LLP.

Research recommendations are prepared independently in accordance with the Research Entity’s internal research process and applicable regulatory requirements.

STOCKWIZ TECHNOLOGIES LLP does not receive any brokerage or share of brokerage arising from transactions undertaken by clients through the Authorized Person or associated stock broker.

Research Independence

STOCKWIZ TECHNOLOGIES LLP maintains appropriate controls intended to preserve the independence and objectivity of its research activities.

Accordingly:

• research recommendations are not prepared for the purpose of generating brokerage or trading turnover;
• research personnel are not compensated based on brokerage generated through the Authorized Person;
• the Authorized Person does not determine the timing, frequency or contents of research recommendations;
• unpublished research recommendations are not provided to the Authorized Person merely by virtue of the AP relationship; and
• a client’s choice of broker does not influence the research services made available to that client.

Client Information and Contact Details

Client information is handled in accordance with applicable regulatory, privacy and data-protection requirements.

Where a client voluntarily expresses interest in being contacted regarding stock-broking/AP related services, the client’s relevant contact information may be shared with the Authorized Person subject to the applicable consent/authorization process.

Declining such consent does not affect the client’s entitlement to receive research services from STOCKWIZ TECHNOLOGIES LLP.

Important Clarification

The existence of this Authorized Person relationship should not be construed as:

• a requirement to execute research recommendations through any particular broker;
• an endorsement that one broker is suitable for every client;
• a representation that research recommendations will result in assured or guaranteed returns;
• an assurance of better research services to clients using the associated broker; or
• a representation that SEBI, RAASB or any stock exchange has specifically approved or endorsed this particular commercial arrangement.

Investors should independently evaluate their choice of stock broker and whether to act upon any research recommendation based on their own circumstances, risk appetite and investment objectives.

Conflict Management

STOCKWIZ TECHNOLOGIES LLP recognizes the potential conflict arising from the familial relationship described above and maintains appropriate policies and controls relating to research independence, information barriers, financial segregation, client choice and disclosure.

Any material change in the above arrangement shall be reviewed from a compliance perspective and this disclosure shall be updated, where necessary.
